1. Agreement to Terms
By accessing or using the NocNoc platform ("Platform" or "Service"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and NocNoc Ltd ("NocNoc", "we", "us", or "our").
2. Description of Service
NocNoc operates a digital platform that facilitates connections between restaurants seeking delivery services ("Restaurants") and individuals offering delivery services ("Drivers"). The Platform serves solely as a communication and connection facilitator.
2.1 Pre-Launch Period
The Platform is currently in a pre-launch period ("Pre-Launch Period"). The Pre-Launch Period shall continue until such time as we enable login functionality for Driver and Restaurant dashboards, as determined in our sole discretion. We are under no obligation to end the Pre-Launch Period by any specific date.
During the Pre-Launch Period:
- Full Platform functionality may not be available
- Registration is primarily for market research and platform development
- Certain fees may be waived or reduced
- Features and terms are subject to change without notice
2.2 Platform Role
NocNoc is not a party to any agreements between Drivers and Restaurants. We do not:
- Employ, control, or direct Drivers
- Set or negotiate delivery rates
- Handle payments between parties
- Guarantee the availability or quality of any services
- Act as an agent for either Drivers or Restaurants
3. User Accounts
3.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be barred from using the Service under applicable law
- Provide accurate, current, and complete information
3.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorised use
3.3 Account Types
Driver Accounts: For individuals seeking to provide delivery services. Drivers must maintain all legally required licences, permits, and insurance.
Restaurant Accounts: For businesses seeking delivery services. Restaurants must be properly registered businesses with all necessary permits.
4. User Obligations
4.1 General Obligations
All Users must:
- Comply with all applicable laws and regulations
- Provide accurate and truthful information
- Respect the rights and dignity of other Users
- Use the Platform only for lawful purposes
- Not interfere with the proper functioning of the Platform
4.2 Driver-Specific Obligations
Drivers additionally agree to:
- Maintain valid driving licence and vehicle insurance as required by law
- Ensure any vehicle used meets all legal requirements
- Accurately represent their availability and service areas
- Honour commitments made to Restaurants
4.3 Restaurant-Specific Obligations
Restaurants additionally agree to:
- Maintain all required business licences and permits
- Provide accurate business information
- Honour payment agreements with Drivers
- Ensure food safety and compliance with health regulations
5. Fees and Payments
5.1 Platform Fees
NocNoc may charge fees for access to and use of the Platform ("Platform Fees"). Current Platform Fees are:
- Drivers: No Platform Fees currently charged
- Restaurants: Registration fee (currently waived during Pre-Launch Period)
5.2 Driver-Restaurant Payments
NocNoc is not involved in any financial transactions between Drivers and Restaurants.All payment terms, including rates, methods, and timing, are determined solely by agreement between Drivers and Restaurants. NocNoc:
- Does not process, handle, or guarantee any payments
- Is not responsible for payment disputes
- Does not set minimum or maximum rates
- Cannot enforce payment obligations
5.3 Fee Modifications
We reserve the right to modify Platform Fees at any time upon thirty (30) days' notice. Continued use of the Platform after fee changes constitutes acceptance of the new fees.
6. Prohibited Conduct
Users shall not:
- Use the Platform for any unlawful purpose or in violation of these Terms
- Impersonate any person or entity or misrepresent your affiliation
- Harass, abuse, threaten, or intimidate other Users
- Upload or transmit viruses, malware, or harmful code
- Attempt to gain unauthorised access to the Platform or other accounts
- Scrape, mine, or copy User data for competitive purposes
- Circumvent or attempt to circumvent Platform Fees
- Use the Platform to spam or send unsolicited communications
- Engage in any activity that disrupts or interferes with the Platform
7. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of NocNoc or its licensors and is protected by UK and international intellectual property laws.
8. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection and use of information as described in the Privacy Policy.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
9.1 Earnings and Savings Disclaimers
NO EARNINGS GUARANTEES: Whilst we may provide information about typical industry earnings (such as £10-20 per hour for UK delivery drivers), these are general market observations only. Actual Driver earnings depend entirely on individual agreements with Restaurants and factors including but not limited to hours worked, location, demand, and efficiency.
NO SAVINGS GUARANTEES: Any references to potential Restaurant savings are illustrative only. Actual costs depend on numerous factors outside our control.
9.2 Service Disclaimers
NocNoc disclaims all liability for:
- The availability, reliability, or quality of Driver or Restaurant services
- Any agreements or disputes between Users
- Loss of data or service interruptions
- Accuracy or completeness of User-provided information
- Third-party conduct or content
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOCNOC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL NOCNOC'S TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED POUNDS (£100) OR THE AMOUNT PAID BY YOU TO NOCNOC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT.
11. Indemnification
You agree to indemnify, defend, and hold harmless NocNoc, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Any agreements or transactions between you and other Users
12. Termination
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.
Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notice at least thirty (30) days before becoming effective. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and NocNoc regarding the Platform.
15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Force Majeure
NocNoc shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.
15.4 No Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
15.5 Assignment
You may not assign or transfer these Terms or your rights hereunder. NocNoc may assign these Terms without restriction.
